ARTICLES OF ORGANIZATION FOR TOP VIEW ANALYTICS, LLC.

Article I: Name 

The name of this limited liability company (LLC) is Top Perch Analytics and Solutions, LLC.

Article II: Principal Place of Business 

The principal place of business of the LLC is 10621 129th PL NE, Kirkland, WA, 98033.

Article III: Registered Agent 

The name and address of the registered agent of the LLC are as follows:

• Address: 10621 129th PL NE, Kirkland, WA, 98033

Article IV: Purpose 

The purpose for which this LLC is organized is to engage in any lawful business activity for which an LLC may be formed in the State of Washington, including but not limited to the sale of Software as a Service (SAAS).

Article V: Management 

This LLC is managed by its sole member, Louis Lucarelli, who shall have the authority to manage the LLC and make all decisions on behalf of the LLC.

Article VI: Term 

The LLC shall have perpetual existence.

Article VII: Dissolution 

This LLC may be dissolved voluntarily by the member or upon the occurrence of events specified in the operating agreement.

Article VIII: Liability 

The liability of the member(s) of this LLC shall be limited to the extent provided by Washington State law.

Article IX: Organizer 

The LLC is organized by Louis Lucarelli.

Article X: Effective Date 

These Articles of Organization shall be effective upon filing with the Washington Secretary of State.
